These Terms of Service ("Terms") govern your access to and use of the website, quoting tools, customer accounts, and related services (collectively, the "Services") of Howard Wire Cloth Co. ("Howard Wire," "we," "us," or "our"), and govern the sale of all products and fabrication supplied by Howard Wire.

By accessing our website, requesting a quote, submitting a purchase order, or accepting delivery of material, you agree to these Terms. If you do not agree, do not use the Services.

1. Business-to-Business Use

Howard Wire is an industrial supplier. Our Services are intended for businesses, contractors, fabricators, institutions, and trade customers, and are not directed to children under the age of 16. Material is sold on commercial terms and is generally supplied for incorporation into the buyer's own product, project, or installation.

2. Quotes, Orders, and Acceptance

Product listings, catalog pages, and quote requests on this website are invitations to request pricing and are not offers to sell.

Written quotations issued by Howard Wire are valid for the period stated on the quotation, or for 30 days where no period is stated, and are subject to prior sale and material availability. Quotations may be revised or withdrawn before acceptance.

No order is binding until accepted in writing by Howard Wire, or until material is shipped. Acceptance of a purchase order is expressly conditioned on these Terms. Any additional or conflicting terms contained in a customer purchase order, portal, or other document are rejected and do not form part of the agreement unless Howard Wire agrees to them in a signed writing.

3. Specifications, Tolerances, and Customer Approval

Mesh counts, opening sizes, wire diameters, gauges, open-area percentages, weights, and dimensions published on this website or in our literature are nominal values and are subject to standard industry manufacturing tolerances. Photographs and illustrations are representative and are not to scale.

The customer is solely responsible for reviewing and confirming all specifications before placing or approving an order, including material and alloy, mesh or opening size, wire diameter or gauge, dimensions, quantity, finish or coating, fabrication requirements, and applicable tolerances.

Approval of an order, quote, drawing, or specification constitutes acceptance of those requirements. Full details are set out in our Return & Cancellation Policy, which is incorporated into these Terms by reference.

4. Suitability for Purpose

Howard Wire supplies material to the specification the customer confirms. We do not evaluate, approve, or certify the customer's design, engineering, structural calculations, code compliance, or intended application, and we make no representation that any material is suitable for a particular use unless expressly stated in a signed writing. Determining that the material selected is appropriate for the customer's application is the customer's responsibility.

5. Pricing and Payment

Prices are quoted in U.S. dollars and exclude shipping, freight, handling, insurance, duties, and taxes unless expressly stated otherwise. Prices are subject to change without notice prior to order acceptance, and are subject to adjustment for changes in raw material cost, tariffs, or surcharges where a quotation so provides.

Unless credit terms have been established in writing, payment is due before shipment. Where credit terms have been extended, invoices are payable in accordance with those terms. Past-due balances may be subject to service charges at the maximum rate permitted by applicable law, and the customer is responsible for reasonable costs of collection, including attorneys' fees.

Howard Wire may condition, suspend, or withdraw credit terms at any time, and may require prepayment, deposits, or progress payments on custom or special-order material.

6. Taxes and Resale Certificates

Applicable sales, use, and excise taxes will be added to invoices unless the customer furnishes a valid resale certificate or exemption documentation acceptable to Howard Wire and to the applicable taxing authority. The customer is responsible for the accuracy of any exemption documentation provided and for any tax, penalty, or interest assessed as a result of an invalid certificate.

7. Custom, Cut-to-Size, and Fabricated Material

Cut-to-size material, cut or partial rolls, slit material, fabricated or formed material, welded or assembled products, custom-manufactured material, special-order or non-stock material, material with custom finishes, coatings, plating, or treatments, and any material altered from its original stocked condition are FINAL SALE and NON-RETURNABLE.

Custom and special-order purchases cannot be cancelled once material has been ordered or production has begun. Any cancellation Howard Wire agrees to accept may be subject to supplier charges, freight costs, labor charges, and/or restocking fees.

Where material is produced to a customer drawing, sketch, sample, or specification, the customer warrants that it has the right to have that item made and that the item does not infringe any third-party right.

8. Shipping, Freight, Title, and Risk of Loss

Shipping dates are estimates and are not guaranteed. Howard Wire is not liable for delays caused by carriers, suppliers, mills, or circumstances beyond our reasonable control.

Unless otherwise agreed in writing, title and risk of loss pass to the customer upon delivery of material to the carrier at our facility or at the manufacturing plant.

Once material leaves our facility or manufacturing plant, Howard Wire is not responsible for normal scratching, rubbing, cosmetic marking, or other minor surface conditions that may occur during transportation.

Any significant freight damage should be noted with the carrier at the time of delivery and reported to Howard Wire as soon as possible. Shortages or visible damage should be noted on the delivery receipt before signing.

Oversized, overlength, and heavy material may require LTL or freight carriage, and freight charges will be quoted separately.

9. Returns, Cancellations, and Restocking

Standard, unaltered stock material may be returned within 15 calendar days of delivery, subject to prior authorization, and is subject to a 20% restocking fee. All returns require prior authorization from Howard Wire; material returned without authorization may be refused and returned at the customer's expense.

Original shipping and freight charges are non-refundable, and the customer is responsible for return freight unless the return results from an error by Howard Wire.

10. Limited Warranty

Howard Wire warrants that material supplied will conform to the specifications confirmed on the customer's accepted order at the time of shipment. This is the sole warranty provided by Howard Wire.

Claims of non-conformance must be reported promptly and before the material is cut, fabricated, installed, coated, or otherwise altered. Material must not be further processed after a discrepancy is discovered without authorization from Howard Wire.

Where a valid claim is established, Howard Wire will, at its option and as the customer's exclusive remedy, replace the material, correct the order, or issue credit. Howard Wire is not responsible for labor, removal, reinstallation, downtime, or other costs arising from the use of non-conforming material.

11. Disclaimer of Other Warranties

EXCEPT FOR THE LIMITED WARRANTY EXPRESSLY SET OUT IN SECTION 10, HOWARD WIRE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." Reference tables, calculators, conversion charts, and technical guides on this website are provided for general information only and must be independently verified before use.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HOWARD WIRE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF USE, DELAY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY MATERIAL SUPPLIED, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HOWARD WIRE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY ORDER WILL NOT EXCEED THE AMOUNT PAID TO HOWARD WIRE FOR THE SPECIFIC MATERIAL GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

13. Indemnification

The customer agrees to indemnify and hold harmless Howard Wire, its officers, employees, and agents from claims, damages, liabilities, and expenses arising out of the customer's misuse of material, failure to follow applicable codes or safety requirements, modification of material after delivery, inaccurate specifications supplied to Howard Wire, or breach of these Terms.

14. Intellectual Property

The Howard Wire name, logo, website content, product photography, descriptions, drawings, spec sheets, and technical resources are the property of Howard Wire Cloth Co. or its licensors and are protected by applicable intellectual property law. You may not reproduce, republish, or use them commercially without our prior written permission. Customer-supplied drawings and specifications remain the property of the customer.

15. Website Use and Accounts

You agree to use the Services only for lawful business purposes and not to interfere with, scrape, overload, or attempt to gain unauthorized access to the Services. If you create a customer account, you are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account. Please notify us promptly of any unauthorized use.

We may modify, suspend, or discontinue any part of the Services, and may correct pricing, specification, or availability errors on the website at any time, including after an order has been submitted but before it has been accepted.

16. Third-Party Services and Links

Our online store is hosted by Shopify, and certain functions rely on third-party providers including payment processors, carriers, and analytics providers. Our website may link to third-party sites we do not control. We are not responsible for the content, terms, or practices of third-party sites or services.

17. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

18. Force Majeure

Howard Wire is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, fire, flood, earthquake, severe weather, labor disputes, mill or supplier delays, material shortages, transportation or port disruption, utility or network failure, cyber incidents, tariffs, embargoes, epidemics, war, terrorism, or governmental action.

19. Governing Law and Venue

These Terms and all sales by Howard Wire are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any dispute is the state or federal courts located in Alameda County, California, and the parties consent to personal jurisdiction there.

20. General

These Terms, together with the Return & Cancellation Policy, the Privacy Policy, and any Howard Wire quotation or written order acknowledgement, constitute the entire agreement between the parties regarding their subject matter and supersede prior discussions. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. The customer may not assign an order without our prior written consent.

21. Changes to These Terms

We may update these Terms from time to time. The version in effect on the date an order is accepted governs that order. When we update these Terms, we will revise the "Last Updated" date above.
